Draft, prepare, negotiate and revise contracts for all vendors, contractors and management, including scope of work, indemnity and insurance issues.
CORPORATE MATTERS
Evaluation of and opinions on corporate issues including governance, bylaws, articles and board and membership meetings, Corporations Code and Davis-Stirling compliance.
DESIGN/CONSTRUCTION DEFECT RECOVERY
The firm will evaluate potential claims against the developer for construction/design deficiencies including Calderon and SB 800 claims.
ELECTIONS/RECALLS
Preparation of election rules, procedures, ballots, voting instructions, proxies, notices, opinions on challenges, attendance at elections, annual meetings, special meetings of members, and recalls of the board.
LEGAL OPINIONS
Provide legal advice, analysis, opinions and recommendations to the Association on any legal issues, including governing document interpretation, corporation issues, maintenance and repair responsibilities, association governance and any other areas of association operations.
LITIGATION
Representation in lawsuits on behalf of and in defense of associations, and directors, from filing of lawsuits through trial, including complex and multiparty litigation.
DOCUMENT AMENDMENTS
Review and analysis of cc&rs, bylaws, articles, amendments; restate and amend governing documents; preparation of court petitions to amend governing documents under Davis-Stirling Act and Corporations Code; creation of ballots, voting documents, recording/filing of amendments with appropriate government entities.
SMALL CLAIMS ASSISTANCE
Preparation of briefs, outline testimony for prosecution and defense of small claims matters.
